    The Associate General Counsel will primarily advise management regarding issues impacting the company’s real estate holdings and leases. This position conducts the drafting and legal review of real estate contracts, to include property and tenant leases, purchase and sale agreements, construction contracts, and regulatory requirements at the city, state, and federal level. Counsel will identify legal issues and risk associated with real estate contracts, agreements and proposals. This position will also support the General Counsel as necessary with respect to various legal issues concerning the company.


    • Negotiate, monitor, advise, and assist management and real estate business partners in analyzing, reviewing, drafting and administering leases, deeds, purchase and sale agreements, construction agreements and regulatory issues and requirements in compliance with industry standards
    • Draft and negotiate commercial real estate contracts, complex leases, waivers, SNDAs, estoppels, and ancillary lease documents
    • Monitor and execute contract termination, cancellation, extension, and renewals
    • Analyze and render opinions on potential impacts of proposed changes to lease arrangements.
    • Advise and assist management and real estate partners on property contract law, regulatory and Americans with Disabilities Act compliance, liens, and licensing
    • Serve as an internal resource on regulatory questions relating to real estate/zoning
    • Review and analyze significant and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, as well as corporate and business unit policies and strategy
    • Interact with executives, business unit management teams, vendors, and outside counsel.
    • Uphold strict confidentiality at all times regarding all company information, including pending and completed negotiations and agreements
    • Provide cross-functional legal support, management, and training as requested
    • Perform other duties as assigned by the General Counsel


    • Juris Doctor degree from an ABA accredited law school
    • State Bar Membership required (Florida preferred)
    • 3+ years of commercial real estate legal experience, extensive exprience in drafig and negotiating commercial real estate leases is required. Employement and/or Franchise Operations experience is a plus
    • Excellent contract negotiation and management experience necessary
    • Strong commercial leasing experience critical; employment and/or franchise law experience a plus
    • Excellent communication (written and verbal) skills; ability to communicate and interact effectively and appropriately with diverse backgrounds and levels of the organization
    • Ability to work independently while delivering excellent business results under demanding timetables
    • Strong research and analysis skills
    • Strong knowledge of attorney-client privilege and confidentiality, particularly in a corporate setting
